PROXY STATEMENT
The Board of Directors of EVI Industries, Inc. (the “Company”) is soliciting proxies to be used at the 2025 Annual Meeting of Stockholders of the Company (the “Annual Meeting”) to be on December 15, 2025 commencing at 11:00 a.m., Eastern time, and at any and all postponements or adjournments of the Annual Meeting, for the purposes set forth in the accompanying Notice of Meeting. In order to provide access to the Company’s stockholders regardless of geographic location, the Annual Meeting will be held in a virtual format only, via webcast, with no physical, in-person meeting.
This Proxy Statement and the accompanying Notice of Meeting and proxy card are first being mailed to stockholders on or about November 20, 2025.
