2025 Compensation Program Overview
2025 Target Compensation and Pay Mix
The Compensation Committee establishes target total compensation opportunities for executives at the beginning of each year. Consistent with our pay-for-performance philosophy, majority of each executive’s pay mix is in the form of at-risk compensation. Each executive has the opportunity to earn above-target pay if he or she delivers Company and individual performance at levels above target, and conversely his or her earned pay will be below target when performance achievement is below target, thereby ensuring pay is aligned with performance. For 2025, the target total compensation opportunities for NEOs was as follows:
| Executive | Base Salary ($) | Target Bonus % | Target Bonus ($) | Target LTI ($)(1)(2) | Total Target Comp ($) |
|---|---|---|---|---|---|
| Mac Armstrong | $1,250,000 | 175% | $2,187,500 | $3,750,000 | $7,187,500 |
| Chris Uchida | 592,000 | 100% | 592,000 | 1,272,800 | 2,456,800 |
| Jon Christianson | 558,000 | 100% | 558,000 | 1,171,800 | 2,287,800 |
| Jon Knutzen | 495,000 | 90% | 445,000 | 940,500 | 1,881,000 |
| Rodolphe Hervé | 446,000 | 70% | 312,200 | 669,000 | 1,427,200 |
Our target pay mix for 2025 for our CEO and all other NEOs reflected a 9% and 16% increase, respectively, in at-risk pay over 2024 and was comprised of the following elements:
