Voting Commitments
Pursuant to the Series F Agreements that we entered into in connection with the Investment Transaction, the Remaining Warrant Holders agreed to vote all of their Series F Preferred Stock, which represents approximately 12.3% of the voting power as of the Record Date, in favor of each of the Proposals presented to stockholders at this Annual Meeting. Also in connection with the Investment Transaction, we and Mr. Lazar separately entered into the Voting Agreement with Jad Fakhry and the Poplar Entities pursuant to which the Poplar Entities agreed to vote all of their shares of Common Stock,

approximately 17.5% of outstanding Common Stock as of June 4, 2025, at the Annual Meeting in favor of each of the Proposals presented to stockholders at this Annual Meeting. As a result of these voting commitments by the Remaining Warrant Holders and the Poplar Entities, we expect that approximately 29.8% of the voting power at this Annual Meeting will be present at the Annual Meeting for purposes of establishing a quorum and will vote to approve each of the director nominees, for three years in relation to the Say-on-Frequency proposal and to approve the remaining Proposals.
