As we continue to invest in executing our vision, we remain focused on enhancing operational efficiency and optimizing our cost structure. To this end, we continuously assess our business operations to ensure alignment with our strategic priorities and evaluate opportunities to externalize assets or businesses that fall outside our strategic focus. As part of this approach, we previously announced the planned divestment of JPT Peptide Technologies business. We are executing on our previously announced manufacturing footprint consolidation and continue to assess other areas where we can elevate operational efficiency.
Update on Genentech Collaboration Cost-Sharing
BioNTech exercised an option in the collaboration agreement with Roche/Genentech, under which the economics for BioNTech will change from the 50:50 cost-profit sharing structure to a royalty-based model. Under the terms of the agreement, future R&D costs related to the program will be generally assigned to Roche/Genentech effective January 1, 2027, while BioNTech will be eligible to receive royalties in case of successful development and commercialization. The updated terms pursuant to the exercised option under the existing agreement align with BioNTech’s broader capital allocation framework and will not affect the ongoing PDAC trial, which will continue as planned.
While this decision follows the regular assessment of the financial structure of our existing collaborations, our broader commitment to mRNA and its potential in oncology remains unchanged. Our conviction in mRNA is anchored by over a decade of translational and clinical research as well as deep experience in the field. InstaDeep Integration
For InstaDeep, we plan to integrate its expertise and capabilities directly into BioNTech’s core business. Moving forward, AI development at BioNTech will focus on supporting BioNTech’s strategic goals, operational processes, and innovation priorities. We believe that sharpening our focus reduces complexity and enables us to leverage AI more effectively where it matters most.
This decision takes the broader evolution of the AI market into account, while enabling us to ultimately maximize benefit for patients and shareholders alike. While we intend to continue to develop in-house AI solutions in areas where BioNTech has highly specific needs and unique expertise (e.g. neoantigen detection R&D), we plan to use high-quality off-the-shelf solutions which are now available for a growing number of use cases ensuring speed, scalability, and economic efficiency.
Status of Negotiations with Co-Founders-Led New Company
In March 2026, we announced plans for an independent company to be established and led by BioNTech co-founders Prof. Ugur Sahin, M.D., and Prof. Özlem Türeci, M.D. Discussions regarding the new company and potential contributions from BioNTech remain ongoing. Any potential arrangement will be evaluated based on strategic rationale and its ability to maximize value for patients and our shareholders. While there is an opportunity for a transaction at this stage, it is optional for both parties and not a necessity.
