ANNUAL INCENTIVE PROGRAM

Payouts to the NEOs and other key executives under our 2024 AIP reinforced our strong pay-for-performance philosophy. In designing the 2024 AIP, the HR Committee approved performance metrics that were in furtherance of our strategic goals and in line with our initial 2024 earnings guidance. The HR Committee linked a significant portion of each of the NEO’s AIP awards to the performance of the business at the enterprise level or the group level of businesses, as applicable.

In 2024, the HR Committee approved four AIP plans for the NEOs -- the Corporate Plan and three Group President Plans, with each Group President Plan comprised of the businesses reporting to the particular Group President.

* On August 16, 2024, Arcosa divested the Steel Components business.

The HR Committee approved the design of the 2024 AIP plans to include measures of both Adjusted EBITDA and Adjusted EBITDA Margin, as well as inclusion of the execution of strategic initiatives as a component under the plans. The modification of the performance measures under the Corporate Plan from the AIP for 2023 (which removed a measure of the non-production costs to our revenue and replaced such measure with the Adjusted EBITDA Margin measure) and the re-weighting of the measures under both the Corporate Plan and the Group President Plans were made so the Corporate Plan would mirror the Group President Plans to further focus management's attention on profitability and margin expansion.
