Products and Solutions
Current report
Our embedded product portfolio includes a broad range of Compute System-on-Modules (“SoM”) and System-in-Package (“SiP”) solutions, together with wired and wireless connectivity products. As semiconductor technology continues to evolve and integrate more functionality, our compute modules now provide not only processing power but also the ability to run advanced AI and machine learning applications. This enables our customers to process and analyze digital inputs such as video, audio, and sensor data, directly at the device level, reducing latency, enhancing security, and enabling real-time decision making.
Current report
Net revenue decreased primarily due to reduced sales to Gridspertise. We did not have any shipments to this customer in the current quarter, as compared to over $5 million the prior year quarter. The year-over-year decrease in revenue from this customer was partially offset by (i) increased unit sales of our network switches in the Americas and APJ regions and (ii) increased unit sales of our telematic gateways in the Americas and EMEA regions.
Current report
Software and Services
Current report
Net revenue decreased primarily due to lower engineering services revenue in the Americas region and a decrease in our extended warranty revenues across all regions. These decreases were partially offset by an increase in our SaaS product revenue in the Americas and EMEA regions.
Current report
Selling, general and administrative expenses increased slightly due to an increase in share-based compensation costs driven by higher-valued stock award grants in the current quarter. This was mostly offset by lower legal fees and certain other professional and outside services costs.

Bank Loan Agreement
Current report
Contract manufacturers’ receivables decreased by $2,619,000, or 85.3%, from June 30, 2025 to September 30, 2025. The decrease is primarily due to timing of shipments of components to contract manufacturers during the current quarter.
Current report
Our net inventories increased by $384,000, or 1.5%, from June 30, 2025 to September 30, 2025. The increase resulted primarily due to the timing of various material receipts during the current quarter as compared to our shipments to customers.

On December 23, 2024, we finalized the acquisition of Netcomm Wireless Pty Ltd (“Netcomm”), a subsidiary of DZS Inc., for $6,458,000 in cash. Netcomm operates an enterprise IoT business. The acquisition complements our focus on Enterprise and Smart City vertical markets and adds products to enhance our connectivity solutions in areas such as critical infrastructure, asset monitoring and telecommunications.

Previous report
Net revenue decreased primarily due to (i) lower unit sales of certain legacy products in our embedded ethernet connectivity product family in the EMEA and APJ regions, (ii) decreased unit sales of our network interface cards in the Americas region, and (iii) decreased unit sales of our embedded GPS receivers product family in the EMEA and APJ regions. These decreases were partially offset by (i) higher unit sales of our embedded compute products across all regions, and (ii) higher unit sales of our wireless communications products in the APJ region.
Previous report
The decrease in net revenue was substantially driven by our custom solution to our European smart energy grid customer. In the three months ended March 31, 2024, we saw net revenue from this product of just under $12,000,000. In the three months ended March 31, 2025, there was no corresponding revenue as this customer is currently working through their deployments. In addition, compared to the prior year period, we experienced (i) decreased unit sales of our network switches in the Americas and EMEA regions, and (ii) decreased unit sales of our OOB products across all regions, as revenues from these products can be dependent on project-based capital spending. These decreases were partially offset by higher unit sales of (i) our gateways, routers, and modems products across all regions, which was largely driven by contributions from our Netcomm acquisition, and (ii) our converters and device servers in the Americas and EMEA regions.
Previous report
Software & Services
Previous report
Net revenue decreased primarily due to a decrease in some of our extended warranty services in the Americas region, primarily related to our OOB products.
Previous report
Selling, general and administrative expenses decreased primarily due to (i) lower headcount related costs resulting from restructuring activities that occurred in January 2025, (ii) lower IT infrastructure and related facilities costs, and (iii) reduced share-based compensation costs based on the value of new and outstanding awards.
Previous report
Research and development expenses decreased primarily due to (i) lower personnel-related expenses in our engineering team resulting from restructuring activities during the current fiscal year, (ii) reduced share-based compensation costs based on the value of new and outstanding awards, and (iii) lower product certification expenses based on the timing of various development projects. This was partially offset by an increase in outside services for third party engineering labor.

We continue to monitor our existing banking relationships and the availability of potential alternate sources of credit based on market conditions and our ongoing capital requirements. There can be no guarantee that we would be able to obtain any needed alternate financing on acceptable terms, or at all, or that such a financing would not result in a default under the Loan Agreement (as defined inNote 6 of Notes to Unaudited Condensed Consolidated Financial Statements, included in Part I, Item 1 of this Report). We anticipate that the primary factors affecting our cash and liquidity are net revenue, working capital requirements and capital expenditures.
Current wording
Our principal sources of cash and liquidity include our existing cash and cash equivalents, borrowings and amounts available under our existing bank borrowing agreement, and cash generated from operations. We are subject to a variable amount of interest on the principal balance of our borrowings and could be adversely impacted by rising interest rates in the future. We believe that our current cash holdings, net cash provided by operating activities, and expected availability under our bank borrowing agreement will be sufficient to fund our material requirements for working capital, capital expenditures and other financial commitments for at least the next 12 months and beyond.
