CODE OF ETHICS
ITEM 16.B. CODE OF ETHICS
On April 1, 2025, our Board adopted a Code of Conduct and Ethics (the “Code of Conduct”), which applies to all officers, directors, and employees of us and our subsidiary.
On May 15, 2025, our Board adopted an Insider Trading Policy (the “Policy”), which applies to all officers, directors, and employees of us and our subsidiary.
The Code of Conduct was adopted to reflect current best practices and enhance the personnel’s understanding of our standards of ethical business practices, promote awareness of ethical issues that may be encountered in carrying out an employee’s or director’s responsibilities, and improve its clarity as to how to address ethical issues that may arise.
The Policy provides guidelines to employees, officers and directors of us and our subsidiaries with respect to transactions in our securities and the procedures set forth therein is intended to help prevent insider trading and to assist the employees, officers and directors of us and our subsidiaries in complying with their obligations under the federal securities laws.
