Current report

In the U.S., net sales increased by $3.3 million, or 0.5%, for the three months ended September 30, 2026. From a product standpoint, the increase was primarily driven by an increase in Enabling Technologies sales of $6.9 million as compared to the same period in the prior-year, primarily driven by increased unit deployment of 52%. The U.S. net sales increase was partially offset by a decrease in Musculoskeletal Solutions sales of $3.6 million, which was primarily driven by a decrease of $22.1 million in spinal cord stimulation product sales due to declines in U.S. trial volumes. The Musculoskeletal Solutions sales decrease was partially offset by an increase driven by higher volumes in spine implantable device sales of $8.1 million, trauma sales of $5.5 million and neuromonitoring sales of $5.0 million.

Current report

The $3.5 million, or 9.3%, decrease in research and development expenses was driven by decreases of $1.3 million in cost of materials, $1.0 million in consulting and outside services, and $0.7 million in employee-related expenses.

Current report

Other income/(expense) increased by $2.9 million, or 101.9%, primarily due to a $6.4 million increase in interest income driven by higher average investment balances and increased market rates. This was partially offset by an increase in foreign currency loss of $2.0 million.

Domestic Enabling Technologies sales unit deployment increased 5%, however sales decreased $5.3 million primarily driven by higher mix of sales model types that recognize revenue over longer periods of time.

Current report

Amortization of intangibles decreased by $0.2 million, or 0.2%, primarily driven by the finalization of amortization of intangible assets as compared to the nine months ended September 30, 2025. This decrease was partially offset by amortization of newly-acquired intangibles.

Previous wording

Our principal source of liquidity is cash flow from operating activities, as well as our cash and cash equivalents and marketable securities, which we believe will provide sufficient funding for us to meet our liquidity requirements for the foreseeable future. Our principal liquidity requirements are to fund working capital, research and development, including clinical trials, capital expenditures primarily related to investment in surgical sets required to maintain and expand our business, contingent consideration achievement obligations, potential future business or intellectual property acquisitions. We expect to continue to make investments in surgical sets as we launch new products, increase the size of our U.S. sales force, and expand into international markets. Future litigation or requirements to escrow funds could also materially impact our liquidity and our ability to invest in and operate our business on an ongoing basis. We may require additional liquidity as we continue to execute our business strategy. To the extent that we require new sources of liquidity, we may consider incurring debt, including borrowing against our existing credit facility, convertible debt instruments, and/or raising additional funds through an equity offering. The sale of additional equity may result in dilution to our stockholders. There is no assurance that we will be able to secure such additional funding on terms acceptable to us, or at all.

Previous wording

The higher net cash provided by operating activities for the six months ended June 30, 2026, was primarily the result of a higher income before taxes of $55.1 million, favorable changes in income taxes paid of $62.6 million and non-cash adjustments of $128.5 million. This was primarily due to the bargain purchase gain recognized during the six months ended June 30, 2025. This increase was partially offset by unfavorable changes in accounts receivable of $47.6 million and inventory of $32.8 million.

Current wording

The higher net cash provided by operating activities for the nine months ended September 30, 2026, was primarily the result of an increase in income before taxes of $94.3 million, favorable changes in income taxes paid of $29.3 million and changes in non-cash adjustments of $131.1 million. The change in non-cash adjustments was primarily due to the bargain purchase gain recognized during the nine months ended September 30, 2025. This increase was partially offset by unfavorable changes in accrued expenses and other liabilities of $40.8 million and inventory of $42.7 million.

Previous wording

The higher net cash used in investing activities for the six months ended June 30, 2026, was primarily due to an increase in purchases of marketable securities of $252.3 million and a decrease in sales and maturities of marketable securities of $113.8 million and $39.0 million, respectively. This was partially offset by acquisition of businesses, net of cash acquired and purchases of intangible and other assets of $251.1 million.

Current wording

The higher net cash used in investing activities for the nine months ended September 30, 2026, was primarily due to an increase in purchases of marketable securities of $361.7 million and a decrease in sales and maturities of marketable securities of $107.4 million. This was partially offset by a decrease in cash used for the acquisition of businesses, net of cash acquired and purchases of intangible and other assets of $239.8 million.

Previous wording

The lower net cash used in financing activities for the six months ended June 30, 2026, was primarily due to the absence of senior convertible note repayments in 2026, as 2025 reflected the final payment of the 2025 Notes(as defined in Note 11. Debt). Additionally, a decrease in repurchases of the Company's Class A Common Stock (“Class A Common”) of $79.4 million, and an increase of $21.0 million in net proceeds from the exercise of stock options also contributed to the decrease in cash used in financing activities during the six months ended June 30, 2026.

Current wording

The lower net cash used in financing activities for the nine months ended September 30, 2026, was primarily due to the absence of senior convertible note repayments in 2026, as 2025 reflected the final payment of the 2025 Notes (as defined in Note 11. Debt). Additionally, a decrease in repurchases of the Company's Class A Common Stock (“Class A Common”) of $23.6 million, and an increase of $25.8 million in net proceeds from the exercise of stock options also contributed to the decrease in cash used in financing activities during the nine months ended September 30, 2026.
