Current report

On August 15, 2026, the Company together with its wholly owned subsidiary, Madison Air Solutions Germany GmbH, a limited liability company organized under the laws of Germany (the "Purchaser"), entered into a Sale and Purchase Agreement (the "SPA") with Sturm Beteiligungs-GmbH & Co. KG ("Sturm KG"), Ziehl Beteiligungen GmbH & Co. KG ("Ziehl KG") and Philippiak Holding GmbH ("Philippiak GmbH" and, together with Sturm KG and Ziehl KG, the "Sellers"), pursuant to which, among other things, the Purchaser will acquire from the Sellers all of the issued and outstanding shares and limited partnership interests (collectively, the "Acquired Interests" and such acquisition, the “ ebm-papst Acquisition”) in ebm-papst Mulfingen GmbH & Co. KGaA & Co. KG, ebm-papst Mulfingen GmbH & Co. KGaA, ebm-papst Finanzierungsgesellschaft mbH and ebm-papst Verwaltungs GmbH (collectively, "ebm-papst"). The Company will serve as the Purchaser's Guarantor under the SPA. Upon completion, the acquisition is expected to nearly double the Company's total addressable market. The transaction remains subject to customary closing conditions, including regulatory approvals, and is expected to close soon after the end of the year. The acquisition has not been reflected in the accompanying condensed consolidated financial statements.

Current report

In anticipation of the ebm-papst Acquisition, on September 1, 2026, the Company sold an aggregate of 90,108,130 shares of its Class A common stock at a price of $24.97 per share in a private placement (the "Private Placement") to certain institutional investors (each, an "Institutional Investor" and collectively, the "Institutional Investors"), our founder, Larry Gies, and an entity affiliated with Mr. Gies. The Company received net proceeds $2,218.2 million from the Private Placement after deducting placement fees (excluding offering related expenses).

Current report

Upon completion, the emb-papst Acquisition is expected to significantly expand the Company's total addressable market, product portfolio, engineering capabilities, global manufacturing footprint and exposure to attractive growth markets, including data centers, industrial applications and energy-efficient air movement solutions. The acquisition is also expected to increase the Company's international operations and foreign currency exposure and may result in additional integration, restructuring, transaction and financing-related costs. The Company's ability to realize the anticipated strategic and financial benefits of the transaction will depend upon a number of factors, including the successful completion of the acquisition, effective integration of the acquired operations, retention of customers and employees, realization of expected synergies and market conditions following closing.
