The baseline is this issuer’s latest earlier reporting period of the same form that was filed before the current report. A previous 10-Q is a different quarter, not a year-over-year comparison. Amendments are excluded.

Compared 118 previous paragraphs and 119 current paragraphs.

75 unchanged; 34 reworded; 9 added; 8 removed; 1 previous and 1 current paragraphs rearranged.

Tables are not compared: 7 previous and 7 current tables excluded. Dates, whitespace, punctuation and numbering changes are ignored; changes to financial figures remain significant.

A changed paragraph is not evidence that risk increased or decreased. An unchanged paragraph does not establish that risk stayed the same.

Current report

Sealing Technologies. Sales of $214.7 million in the third quarter of 2026 increased 20.5% compared to $178.2 million in the same period of 2025. Excluding the favorable foreign exchange translation ($0.7 million), and contributions from acquisitions completed in the fourth quarter of 2025 ($15.1 million) sales were up 11.6%, or $20.7 million. Pricing and mix ($6.0 million), as well as strength in space, general industrial, and compositional analysis applications along with year-on-year improvements in commercial vehicle more than offset softness in European biopharmaceutical demand and timing of power generation deliveries year-over-year.

Current report

Adjusted Segment EBITDA of $34.3 million in the third quarter of 2026 increased 57.3% from $21.8 million year over year. Segment AEBITDA margin improved 500 basis points over last year. Contribution from the increase in sales was partially offset by increased personnel and qualification costs supporting new platforms and long-term growth initiatives ($4.9 million) and increased incentive compensation accruals driven by improved segment performance ($2.0 million).

Current report

Corporate expenses for the third quarter of 2026 of $13.5 million increased $3.3 million compared to $10.2 million prior year, primarily driven by increased incentive compensation and restructuring related costs.

Current report

Other expense, net in the third quarter of 2026 decreased $1.8 million compared to the same period in 2025, driven primarily by lower costs related to previously divested businesses ($0.9 million) and lower non-service pension related costs as a result of the termination of our U.S. defined benefit pension plan at the end of 2025 ($0.7 million).

Current report

Nine Months Ended September 30, 2026 Compared to the Nine Months Ended September 30, 2025

Current report

Advanced Surface Technologies: Sales of $363.6 million in the first nine months of 2026 increased 19.9%, or $60.4 million, compared to $303.2 million in the prior-year period, reflecting continued strength in precision cleaning solutions serving the leading edge, strengthening demand for semiconductor capital equipment, and increased demand in coatings solutions.

Current report

Adjusted Segment EBITDA of $88.0 million in the first nine months of 2026 increased 41.7%, or $25.9 million, from $62.1 million in the comparable period of 2025. Adjusted Segment EBITDA margin of 24.2% was up from 20.5%. The robust sales performance drove the strong EBITDA growth and margin expansion, offset in part by expenses supporting the sales growth ($12.1 million) and increased incentive compensation accruals from the strong performance ($4.5 million).

Current report

Interest expense, net in the first nine months of 2026 increased by $3.4 million compared to last year driven slightly higher average outstanding debt balances from acquisitions completed in 2025 and lower interest income from using strong cash generation to accelerate reduction in revolving debt.

Excluding foreign exchange translation ($2.9 million) and contribution from acquisitions completed in the fourth quarter of 2025 ($16.4 million), sales were up 5.0%, or $9.4 million. Pricing and mix ($6.4 million) and strength in aerospace, general industrial in North America and Asia, and compositional analysis applications were offset in part by continued demand weakness in commercial vehicle OEM sales, and slow European general industrial and food and biopharmaceutical demand.

Previous report

In AST, adjusted Segment EBITDA of $29.4 million in the second quarter of 2026 increased 48.5% from $19.8 million compared to last year. Segment AEBITDA margin increased to 23.9%, or 430 basis points compared to 19.6% last year. Contribution from the increase in sales, and, to a lesser extent, favorable transactional foreign exchange ($2.6 million) driven mainly by losses in the prior year were partially offset by increased personnel costs to meet strong demand schedules ($2.6 million) as well as increased incentive compensation accruals driven by the strong year-over-year segment performance.

Previous report

Corporate expenses for the second quarter of 2026 of $15.7 million increased $3.6 million compared to the same period in 2025, primarily due to $1.3 million of higher restructuring costs and increased incentive compensation accruals of $2.4 million.

Previous wording

1 In connection with the acquisition of LeanTeq in 2019, we recognized a liability for uncertain tax positions and a related indemnification asset for the portion of that liability recoverable from the seller. We determined the statute of limitations expired on some of the uncertain tax positions in 2026 and, accordingly, removed a portion of the liability and receivable. The release of the related liability was recorded as part of our tax expense for quarter and six months ended June 30, 2026 and the reversal of the related receivable was recorded as an expense in other non-operating income (expense) on our consolidated statement of operations.

Previous wording

2 The termination and settlement process for our defined benefit pension plan in the United States was substantially completed in the fourth quarter of 2025, resulting in the recognition of a non-cash settlement loss to recognize actuarial losses previously deferred in accumulated other comprehensive income on our consolidated balance sheet. In the second quarter of 2026, the annuity purchase to terminate the plan was finalized, which resulted in funds being credited back to residual pension assets. This resulted in a partial offset to the settlement loss recorded in 2025.

2 The termination and settlement of the Company’s U.S. defined benefit pension plan were substantially completed in the fourth quarter of 2025, resulting in the recognition of a non-cash settlement loss associated with actuarial losses previously deferred in accumulated other comprehensive income on our consolidated balance sheet. During 2026, the Company finalized the annuity purchase to terminate the plan and completed the pension trust settlement process, which resulted in the return of residual pension assets and excess trust funds to the Company. These transactions generated favorable adjustments that partially offset the settlement loss recognized in 2025.
