Proxy Statement

FOR THE 2026 ANNUAL MEETING OF STOCKHOLDERS

This proxy statement is furnished in connection with the solicitation by the Board of Directors of Getty Images Holdings, Inc. of proxies to be voted at our Annual Meeting of Stockholders to be held virtually on Thursday, October 8, 2026 at 10:30 a.m., Eastern Time (the “2026 Annual Meeting”), and any adjournment or postponement thereof. You will be able to attend the 2026 Annual Meeting online and submit your questions during the meeting by visiting https://edge.media-server.com/mmc/p/3k7iuag9(password: getty2026) and entering your 11-digit control number included on your Notice of Internet Availability of Proxy Materials (the “Internet Notice”), on your proxy card or on the instructions that accompanied your proxy materials.

Holders of record of shares of our Class A common stock, par value $0.0001 per share (“Class A common stock”), as of the close of business on August 17, 2026 (the “Record Date”), will be entitled to notice of and to vote at the 2026 Annual Meeting and any adjournment or postponement thereof. As of the Record Date, there were 414,811,306 shares of Class A common stock outstanding and entitled to vote at the 2026 Annual Meeting. Each share of Class A common stock is entitled to one vote on any matter presented to stockholders at the 2026 Annual Meeting.

In accordance with Securities and Exchange Commission (“SEC”) rules, we are using the Internet as our primary means of furnishing proxy materials to stockholders. Consequently, most stockholders will not receive paper copies of our proxy materials. We will instead send these stockholders an Internet Notice with instructions for accessing the proxy materials, including this proxy statement and the Company’s annual report to stockholders for the year ended December 31, 2025 (the “2025 Annual Report”), and voting via the Internet. The Internet Notice also provides information on how stockholders may obtain paper copies of our proxy materials if they so choose. We believe this rule makes the proxy distribution process more efficient, less costly, and helps in conserving natural resources.

The Internet Notice and this proxy statement for the 2026 Annual Meeting, and the accompanying form of proxy, were first distributed and made available on the Internet to stockholders on or about August 28, 2026. The 2025 Annual Report is available with this proxy statement by following the instructions in the Internet Notice.

In this proxy statement, “Getty Images”, “Getty”, the “Company”, “we”, “us”, and “our” refer to Getty Images Holdings, Inc. after the Business Combination (as defined herein) and to Griffey Global Holdings, Inc., a Delaware corporation (“Legacy Getty”) and Getty Images, Inc. before the Business Combination, unless stated otherwise or the context otherwise requires.
