PROPOSAL 2: BOARD DE-CLASSIFICATION PROPOSAL

On March 4, 2025, the Fund received notice from the Saba Activist Hedge Fund, through its investment adviser Saba Capital Management, L.P. (together with the Saba Activist Hedge Fund, "Saba"), of its intention to include a proposal (the "Board De-Classification Proposal") at the Meeting. The Board De-Classification Proposal is non-binding and requests that the Board take certain actions if approved by stockholders.

FOR THE REASONS DISCUSSED BELOW, THE BOARD STRONGLY SUPPORTS ITS EXISTING STRUCTURE AND UNANIMOUSLY RECOMMENDS THAT STOCKHOLDERS VOTE "AGAINST" THE BOARD DE-CLASSIFICATION PROPOSAL.

The text of the Board De-Classification Proposal, for which the Fund accepts no responsibility, is included below exactly as submitted by the Saba Activist Hedge Fund. A brief explanation of the reasons the Board recommends "AGAINST" this proposal follows immediately after the proposal.
