HomesToLife Ltd (the “Company”) is filing this amendment (the “Amendment”) to its Notice and Proxy Statement as the Exhibit 99.1 of its Current Report on Form 6-K, furnished with the Securities and Exchange Commission on October 9, 2026 (the “Proxy Statement”) to (1) make the following correction on page 90 and (2) attach the final IPT General Mandate as Annex B. As the Proxy Statement disclosed, the IPT General Mandate set out at Annex B to the Proxy Statement was in draft form. Because there are subsequent updates to the IPT General Mandate following the issuance of the Proxy Statement, the Company is furnishing a Current Report on Form 6-K to provide an amendment to the Proxy Statement which attaches the final form of the IPT General Mandate in substitution for the current version in Annex B. Please see the section entitled “Proposal 2: Approval of the IPT General Mandate – What am I Voting On?” in in the Proxy Statement for further details.
