General
We are providing this proxy statement in connection with the solicitation by the Board of Directors of Coda Octopus Group, Inc. of proxies to be voted at our Annual Meeting of Stockholders and at any postponement or adjournment thereof. Our Annual Meeting will be held on Tuesday September 8, 2026, at 12:00 p.m., Eastern Time.
This year’s Annual Meeting will be held virtually via live audio webcast on the Internet. You will only be able to attend the annual meeting, vote and submit your questions during the meeting by visitingwww.virtualshareholdermeeting.com/CODA2026 and entering the 16-digit control number included in the Notice of Internet Availability or proxy card that you receive.
Our proxy materials are being made available to our stockholders beginning on or about August 17, 2026.
Solicitation of proxies on behalf of the Board of Directors may be made by our employees through the mail or in person. We will bear all costs of the solicitation.
