Proposal 2 – Increase Proposal

The Increase Proposal will be approved if the number of votes properly cast FOR the proposal at the Special Meeting exceeds the number of votes cast AGAINST the proposal. Abstentions will have no effect on the voting of the Exercise Proposal.

The Increase Proposal is a non-routine matter. Therefore, if your shares are held by your brokerage firm in street name and you do not timely provide voting instructions with respect to your shares, your brokerage firm cannot vote your shares on the Increase Proposal. Shares held in street name by banks, brokerage firms or other nominees who indicate on their proxies that they do not have authority to vote the shares on the Increase Proposal will not be counted as votes cast. As a result, such “broker non-votes” will have no effect on the voting on the Increase Proposal.
