“RESOLVED, that the stockholders of the Company determine, on an advisory basis, that the frequency with which the stockholders of the Company wish to have an advisory vote on the compensation of the Company’s named executive officers as disclosed pursuant to the SEC’s compensation disclosure rules (which disclosure includes any Compensation Discussion and Analysis, the Summary Compensation Table, and the related tables and disclosure) is:

●	Choice 1 – one year (recommended by the Board of Directors);
●	Choice 2 – two years;
●	Choice 3 – three years; or
●	Choice 4 – abstain from voting.
