PROXY STATEMENT
To the Stockholders of HighPeak Energy, Inc.:
Notice is hereby given that the 2024 Annual Meeting of Stockholders of HighPeak Energy, Inc. (the “Company,” “HighPeak,” “HighPeak Energy,” “we,” “us” or “our”) will be held on June 4, 2024, at 10:00 a.m., Central Time (the “Annual Meeting”) at 421 W. 3rd Street, Suite 1000, Fort Worth, Texas 76102.
The Annual Meeting is being held for the following purposes:
| 1. | To elect the two Class A director nominees named in this proxy statement to the Company’s Board of Directors, each of whom will hold office until the 2027 Annual Meeting of Stockholders and until his or her successor is elected and qualified or until his or her earlier of death, resignation or removal; |
| 2. | To ratify the appointment of Weaver and Tidwell, L.L.P. as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2024; and |
| 3. | To transact such other business as may properly come before the Annual Meeting or any adjournments or postponements thereof. |
All stockholders of record at the close of business on April 8, 2024 (the “Record Date”), will be entitled to receive notice of and to vote at the Annual Meeting or any adjournment or postponement of the Annual Meeting.
