PROPOSAL FIVE
election of ERIC SITES AS A Director of the Fund
The affirmative vote of a majority of the votes cast at the Annual Meeting is sufficient to independently elect Eric Sites as a Director. The term of office is one year or until his successor is elected and qualified. Broker non-votes, if any, and abstentions will not be considered votes cast, and therefore will have no effect on the outcome of the election of the nominees.
The Board recommends shareholders vote FOR the election of ERIC SITES As a Director of the Fund.
