Internet Availability of Proxy Materials

In accordance with the rules of the Commission, instead of mailing a printed copy of the Company’s proxy statement, annual report and other materials (the “proxy materials”) relating to the Annual Meeting to all stockholders, the Company may furnish proxy materials to stockholders on the Internet by providing a Notice of Internet Availability of Proxy Materials (the “Notice of Internet Availability”) to inform stockholders when the proxy materials are available on the Internet. There are no matters to be voted on by holders of the Company's common stock. If you are a holder only of the Company’s common stock who hold your shares in “street name” (i.e., through an account at a broker or other nominee), you will only receive the Notice of Internet Availability by mail, and will not receive a printed copy of the proxy materials. Instead, the Notice of Internet Availability will instruct you on how you may access and review all of the Company’s proxy materials. We intend to send the Company’s holders of preferred stock a full set of printed proxy materials by mail.

The Company intends to commence distribution of the Notice of Internet Availability to holders of common stock who hold their shares in “street name” (i.e., through an account at a broker or other nominee) on or about September 28, 2026.
