EX-99.1 · DECREASE OF VOTING RIGHTS OF CLASS B ORDINARY SHARES
DECREASE OF VOTING RIGHTS OF CLASS B ORDINARY SHARES
We are proposing a resolution to approve, that, with immediate effect, the voting rights attached to each Class B ordinary share of a par value of US$0.0000375 each (the “Class B Ordinary Shares”) of the Company be decreased from two hundred (200) votes per share to thirty (30) votes per share on all matters subject to vote at general meetings of the Company (the “Decrease of Voting Rights of Class B Ordinary Shares”).
At an extraordinary general meeting of shareholders held by the Company on August 18, 2026, the Company’s shareholders approved an increase of the voting power of the Class B ordinary shares from thirty (30) votes per share to two hundred (200) votes per share. Following the shareholders meeting, the sole shareholder of the Class B Ordinary Shares entered into the Voting Rights Waiver Agreement with the Company, pursuant to which the Class B shareholder voluntarily and irrevocably waived the additional one hundred seventy (170) votes per share granted by the increase of voting rights of Class B Ordinary Shares, such that the effective voting power of each Class B Ordinary Share held by the Class B shareholders shall remain limited to thirty (30) votes per share for all matters submitted to a vote of the Company’s shareholders. Accordingly, the Company is now proposing to amend its amended and restated memorandum and articles of association to reduce the voting power of the Class B ordinary shares from two hundred (200) votes per share to thirty (30) votes per share.
On September 29, 2026, the sole shareholder of the Class B Ordinary Shares provided its written class consent to the Decrease of Voting Rights of Class B Ordinary Shares.
The affirmative vote of a majority of not less than two-thirds (2/3) of such shareholders as, being entitled to do so, vote in person or by proxy at the EGM is required. Unless otherwise instructed on the proxy or unless authority to vote is withheld, shares represented by executed proxies will be voted “FOR” this Proposal. Abstentions and broker non-votes, if any, will not be counted as votes cast and will not affect the outcome of this Proposal, although they will be counted for purposes of determining whether there is a quorum present.
THE BOARD UNANIMOUSLY RECOMMENDS THAT YOU VOTE ALL OF YOUR SHARES
