Class B Conversion Trigger
The current memorandum and articles of association provide that Class B Ordinary Shares automatically convert to Class A Ordinary Shares upon certain trigger events, including when a director holding Class B Ordinary Shares vacates office. The Amended MAA removes the vacation of office by a director and death of the holder as a trigger event for automatic conversion, while retaining other conversion triggers such as transfer to non-affiliates, and change of beneficial ownership to non-affiliates.
