SUMMARY FINANCIAL DATA
The following table summarizes the relevant financial data for our business and should be read with our financial statements, which are included in this prospectus. We have not had any significant operations to date, so only balance sheet data are presented.
| Actual | As Adjusted | |
|---|---|---|
| Balance Sheet Data: | ||
| Working capital (deficit) surplus(1) | $(47,194) | $643,677 |
| Total assets(2) | $90,687 | $100,733,377 |
| Total liabilities(3) | $82,140 | $3,589,700 |
| Value of ordinary shares subject to possible redemption/tender(4) | $— | $100,000,000 |
| Shareholders’ equity (deficit)(5) | $8,547 | $(2,856,323) |
(1) The “as adjusted” calculation includes $724,830 in cash held outside the trust account, minus $89,700 of over-allotment option liability, plus $8,547 of actual shareholder’s equity as of June 30, 2026.
(2) The “as adjusted” calculation equals $100,000,000 cash held in trust from the proceeds of this offering and the sale of the private units, plus $724,830 in cash held outside the trust account, plus $8,547 of actual shareholders’ equity as of June 30, 2026, assuming the Representative’s over-allotment option is not exercised.
(3) The “as adjusted” calculation includes the over-allotment option liability of $89,700 and deferred underwriting commissions of $3,500,000, assuming the Representative’s over-allotment option is not exercised.
(4) The “as adjusted” amount includes all Class A ordinary shares included in the units sold in this offering, assuming the over-allotment option is not exercised. The Class A ordinary shares offered to the public contain redemption rights that make them redeemable by our public shareholders. Accordingly, they are classified within temporary equity in accordance with the guidance provided in ASC 480-10-S99-3A. Given that the 10,000,000 Class A ordinary shares sold as part of the units in the offering will be issued with other freestanding instruments (i.e., warrants and rights), the initial carrying value of Class A ordinary shares classified as temporary equity will be the allocated proceeds determined in accordance with ASC 470-20. The resulting discount to the initial carrying value of temporary equity will be accreted upon the closing of this offering such that the carrying value will equal the redemption value of such date. The “as adjusted” value of Class A ordinary shares subject to possible redemption represents 10,000,000 Class A ordinary shares at $10.00 per share.
(5) Excludes 10,000,000 Class A ordinary shares which may be redeemed in connection with our initial business combination and assuming no exercise of the over-allotment option. The actual number of shares that may be redeemed may exceed this amount. The “as adjusted” calculation equals the “as adjusted” total assets, less the “as adjusted” total liabilities, less the value of Class A ordinary shares that may be redeemed in connection with our initial business combination.
If no business combination is completed within the completion window, unless shareholders approve an amendment to our amended and restated memorandum and articles of association to extend the deadline, the proceeds then on deposit in the trust account, including interest (which interest shall be net of taxes payable), will be used to fund the redemption of our public shares. Our sponsor, officers and directors will enter into a letter agreement with us, pursuant to which they have agreed to (i) waive their redemption rights with respect to their initial shares, private shares and public shares in connection with the completion of our initial business combination; (ii) waive their redemption rights with respect to their initial shares, private shares and public shares in connection with a shareholder vote to approve an amendment to our post-offering amended and restated memorandum and articles of association (a) to modify the substance or timing of our obligation to allow redemption in connection with our initial business combination or to redeem 100% of our public shares if we have not consummated an initial business combination within the completion window or (b) with respect to any other material provisions relating to shareholders’ rights or pre-initial business combination activity; (iii) waive their rights to liquidating distributions from the trust account with respect to their initial shares and private shares if we fail to complete our initial business combination within the completion window, although they will be entitled to liquidating distributions from the trust account with respect to any public shares they hold if we fail to complete our initial business combination within the prescribed time frame; and (iv) vote any initial shares and private shares held by them and any public shares purchased during or after this offering (including in open market and privately-negotiated transactions, aside from shares they may purchase in compliance with the requirements of Rule 14e-5 under the Exchange Act, which would not be voted in favor of approving the business combination transaction) in favor of our initial business combination.
