Underwriting
D. Boral Capital LLC is acting the sole book-running manager of the offering and as representative of the underwriters named below. Subject to the terms and conditions of the underwriting agreement dated the date of this prospectus, each underwriter named below has severally agreed to purchase, and we have agreed to sell to that underwriter, the number of units set forth opposite the underwriter’s name.
| Underwriter | Number of Units |
|---|---|
| D. Boral Capital LLC | |
| Total | 15,000,000 |
The underwriting agreement provides that the obligations of the underwriters to purchase the units included in this offering are subject to approval of legal matters by counsel and to other conditions. The underwriters are obligated to purchase all of the units ( other than those covered by the over-allotment option described below) if they purchase any of the units.
Pricing of the Offering
We have been advised by the underwriters that they propose to offer the units to the public at the initial offering price set forth on the cover page of this prospectus and part to certain members of the selling syndicate at a price that represents a concession not in excess of $[0.05] per unit under the public offering price. If all of the units are not sold at the initial offering price, the representative may change the offering price and other selling terms. The offering of the units by the underwriters is subject to receipt and acceptance and subject to the underwriters’ right to reject any order in whole or in part. Sales of any units outside the United States may be made by affiliates of the underwriters.
Over-allotment Option
We have granted to the underwriters an option, exercisable for 45 days from the date of this prospectus, to purchase up to 2,250,000 additional units at the public offering price. The underwriters may exercise this option solely for the purpose of covering over-allotments, if any, in connection with this offering. To the extent the option is exercised, each underwriter must purchase a number of additional units approximately proportionate to that underwriter’s initial purchase commitment. Any units issued or sold under the option will be issued and sold on the same terms and conditions as the other units that are the subject of this offering.
Lock-up
Our officers and directors have agreed not to transfer any ownership interest in, except to permitted transferees, their private units or underlying securities thereof until at least 30 days following the completion of the initial business combination. However, if after a business combination there is a transaction whereby all the outstanding shares are exchanged or redeemed for cash (as would be the case in a post-asset sale liquidation) for another issuer’s shares, then such securities shall be permitted to participate. These transfer restrictions are set forth in the letter agreement described in this prospectus.
Representative Shares
We have agreed to issue to D. Boral and/or its designees, 1,000,000 Class A ordinary shares (whether or not the underwriters’ over-allotment option is exercised in full) upon the consummation of this offering. These shares are being registered in the registration statement of which this prospectus forms a part. D. Boral has agreed not to transfer, assign or sell any such shares until the completion of our initial business combination. In addition, D. Boral has agreed (i) to waive its redemption rights with respect to such shares in connection with the completion of our initial business combination and (ii) to waive its rights to liquidating distributions from the trust account with respect to such shares if we fail to complete our initial business combination within the periods of time as provided in our memorandum and articles of association. The shares issued to D. Boral will be granted customary registration rights in compliance with FINRA Rule 5110(g)(8).
The shares have been deemed compensation by FINRA and are therefore subject to a lock-up for a period of 180 days immediately following the commencement of sales of this offering pursuant to FINRA Rule 5110(e)(1). Pursuant to this FINRA lock-up, these securities cannot be sold, transferred, assigned, pledged or hypothecated or the subject
of any hedging, short sale, derivative, put or call transaction that would result in the economic disposition of the securities by any person for a period of 180 days from the commencement of sales of this offering except as permitted under FINRA Rule 5110(e)(2), including to any underwriter and selected dealer participating in the offering and their officers or partners, registered persons or affiliates.
D. Boral Capital will not confirm sales to any account over which it exercises discretionary authority without the specific prior written approval of the account holder.
Determination of Offering Price
Prior to this offering, there has been no public market for our securities. Consequently, the initial public offering price for the units was determined by negotiations between us and the representative. The determination of our per unit offering price was more arbitrary than would typically be the case if we were an operating company. Among the factors considered in determining the initial public offering price were the history and prospects of companies whose principal business is the acquisition of other companies, prior offerings of those companies, our management, our capital structure, and currently prevailing general conditions in equity securities markets, including current market valuations of publicly traded companies considered comparable to our company. We cannot assure you, however, that the price at which the units, Class A ordinary shares or warrants or rights will sell in the public market after this offering will not be lower than the initial public offering price or that an active trading market in our units, Class A ordinary shares or warrants or rights will develop and continue after this offering.
Listing
We expect our units to be listed on the Nasdaq under the symbol “JABU” commencing on or promptly after the date of this prospectus, and, once the Class A ordinary shares and warrants and rights begin separate trading, to have our Class A ordinary shares and warrants and rights listed on Nasdaq under the symbols “JAB,” “JABW” and “JABRR” respectively. We cannot guarantee that our securities will be approved for listing on the Nasdaq.
Discounts
The following table shows the underwriting discounts and commissions that we are to pay to the underwriter in connection with this offering. These amounts are shown assuming both no exercise and full exercise of the underwriters’ over-allotment option.
| Per Unit | Total | |
|---|---|---|
| Public offering price | $10.00 | $150,000,000 |
| Underwriting discounts and commissions(1)(2) | $0.70 | $3,000,000 |
| Proceeds, before expenses, to us | $9.30 | $147,000,000 |
(1) The representative of the underwriters or its designees will receive an aggregate of 1,000,000 Class A ordinary shares (whether or not the over-allotment option is exercised), which we refer to herein as the “representative shares,” as compensation in connection with this offering. In addition, $0.70 per unit sold in the base offering, or deferred underwriting commissions equal to 7.0% of the gross proceeds remaining in the trust account following redemptions, not to exceed $3,000,000 in the aggregate (whether or not the over-allotment option is exercised), for deferred underwriting commissions will be placed in a trust account located in the United States as described herein. The deferred commissions will be released to D. Boral Capital LLC for its own account concurrently with completion of an initial business combination in the amounts set forth above, as described in this prospectus.
(2) Does not include a cash payment of $1,000,000 to be paid to the representative of the underwriters (whether or not the over-allotment option is exercised) and certain fees and expenses incurred by the underwriters in connection with this offering, which we have agreed to reimburse the underwriters in an amount not to exceed $200,000 in the aggregate.
We estimate that our portion of the total expenses of this offering payable by us will be $1,655,000. We have also agreed to pay the actual fees and reasonable out-of-pocket expenses of the underwriter and its legal counsel, not to exceed $200,000 if there is a closing and $100,000 if there is not a closing, provided that costs and expenses incurred by the representative in connection with its background check process will not be subject to the foregoing cap and will be reimbursed in full.
Right of First Refusal
Subject to certain conditions, we granted D. Boral Capital an irrevocable right of first refusal for a period of twenty-four (24) months commencing upon the closing of the initial business combination to act as sole investment banker, sole book-runner and/or sole placement agent at D. Boral Capital’s sole discretion, for each and every future public and private equity and debt offering, including equity-linked financings, forward purchase agreement and similar equity line financings. The right of first refusal shall also encompass the time period leading up to the closing of the business combination while the Company is still a Special Purpose Acquisition Company. In accordance with FINRA Rule 5110(g)(6), such right of first refusal shall not have a duration of more than three years from the commencement of sales of this offering or the termination date of the underwriting agreement between us and D. Boral Capital.
Stabilization and Other Transactions
The underwriters pursuant to Regulation M under the Exchange Act may engage in short sale transactions, stabilizing transactions, syndicate covering transactions or the imposition of penalty bids in connection with this offering. These activities may have the effect of stabilizing or maintaining the market price of the units at a level above that which might otherwise prevail in the open market. Establishing short sales positions may involve either “covered” short sales or “naked” short sales.
“Covered” short sales are sales made in an amount not greater than the underwriters’ option to purchase additional units in this offering. The underwriters may close out any covered short position by either exercising the overallotment option or purchasing our securities in the open market or from market participants. In determining the source of units to close out the covered short position, the underwriters will consider, among other things, the price of units available for purchase in the market as compared to the price at which they may purchase units through the overallotment option.
“Naked” short sales are sales in excess of the option to purchase additional units. The underwriters must close out any naked short position by purchasing units in the open market. A naked short position is more likely to be created if the underwriters are concerned that there may be downward pressure on the price of the units in the open market after pricing that could adversely affect investors who purchase in this offering.
A stabilizing bid is a bid for the purchase of securities on behalf of the underwriters for the purpose of fixing or maintaining the price of the securities. A syndicate covering transaction is the bid for or the purchase of securities on behalf of the underwriters to reduce a short position incurred by the underwriters in connection with the offering. Similar to other purchase transactions, the underwriters’ purchases to cover the syndicate short sales may have the effect of raising or maintaining the market price of our securities or preventing or retarding a decline in the market price of our securities. As a result, the price of our securities may be higher than the price that might otherwise exist in the open market. A penalty bid is an arrangement permitting the underwriters to reclaim the selling concession otherwise accruing to a syndicate member in connection with the offering if the securities originally sold by such syndicate member are purchased in a syndicate covering transaction and therefore have not been effectively placed by such syndicate member.
Neither we, nor any of the underwriters make any representation or prediction as to the direction or magnitude of any effect that the transactions described above may have on the price of our securities. The underwriters are not obligated to engage in these activities and, if commenced, may end any of these activities at any time. These transactions may be effected on Nasdaq, in the over-the-counter market or otherwise.
We have agreed to indemnify the several underwriters against certain liabilities, including liabilities under the Securities Act, or to contribute to payments the underwriters may be required to make because of any of those liabilities.
Market Making
The underwriters have advised us that, following the completion of this offering, they may make a market in the units as permitted by applicable laws and regulations. However, the underwriters are not obligated to do so, and the underwriters may discontinue any market-making activities at any time without notice in their sole discretion.
Accordingly, no assurance can be given as to the liquidity of the trading market for the units, that you will be able to sell any of the units held by you at a particular time or that the prices that you receive when you sell would be favorable.
Other Terms
We will agree to indemnify the underwriter against certain liabilities, including liabilities under the Securities Act, or to contribute to payments the underwriter may be required to make because of any of those liabilities.
The underwriting agreement provides that, following the completion of this offering, the obligations of the underwriters with respect to this offering will be deemed to be satisfied and the underwriters are not bound by any commitment or obligation to offer or sell to the public any of our securities or of any target business in an initial business combination or otherwise solicit holders of our securities or any target business in an initial business combination to approve the business combination.
We are not under any contractual obligation to engage any of the underwriters to provide any services for us after this offering, and have no present intent to do so. However, any of the underwriters may introduce us to potential target businesses or assist us in raising additional capital in the future. If any of the underwriters provide services to us after this offering, we may pay such underwriter fair and reasonable fees that would be determined at that time in an arm’s length negotiation; provided that no agreement will be entered into with any of the underwriters and no fees for such services will be paid to any of the underwriters prior to the date that is 60 days from the date of this prospectus, unless FINRA determines that such payment would not be deemed underwriters’ compensation in connection with this offering.
Some of the underwriters and their respective affiliates are full service financial institutions engaged in various activities, which may include sales and trading, commercial and investment banking, advisory, investment management, investment research, principal investment, hedging, market making, brokerage and other financial and non-financial activities and services. Some of the underwriters and their affiliates have engaged in, and may in the future engage in, investment banking and other commercial dealings in the ordinary course of business with us or our affiliates, including in connection with acting in an advisory capacity or as a potential financing source in conjunction with our potential acquisition of a company. They have received, or may in the future receive, customary fees and commissions for these transactions.
In the ordinary course of their various business activities, some of the underwriters and their respective affiliates, officers, directors and employees may purchase, sell or hold a broad array of investments and actively trade debt or equity securities, derivatives, loans, commodities, currencies, credit default swaps and other financial instruments for their own account and for the accounts of their customers and such investment and trading activities may involve or relate to assets, securities and/or instruments of ours and/or of persons and entities with relationships with us. Some of the underwriters and their respective affiliates may also communicate independent investment recommendations and/or publish or express independent research views in respect of such securities or instruments and may at any time hold, or recommend to clients that they should acquire, long and/or short positions in such securities and/or instruments.
