2.2 Binding Effect
This Plan of Arrangement and the Arrangement, upon the issuance of the Certificate of Arrangement, shall become effective at, and be binding as and from, the Effective Time, on: (a) ATCO; (b) Canadian Utilities; (c) SpinCo; (d) Emera; (e) all registered and beneficial holders of ATCO Shares, including Dissenting ATCO Shareholders; (f) all registered and beneficial holders of Canadian Utilities Shares, including Dissenting Canadian Utilities Shareholders; (g) all holders of ATCO Options, Canadian Utilities Options, ATCO SARs and Canadian Utilities SARs; (h) the Depositary; and (i) all other Persons, without any further act or formality required on the part of any Person except as expressly provided herein.
