5.2Amendment. This Agreement may be amended by mutual agreement of the Parties at any time by execution of an instrument in writing signed on behalf of each of Parent, Merger Sub and the Company, except that if this Agreement has been approved by the Company Shareholders in accordance with the BCA, no amendment shall be made to this Agreement that requires the approval of the Company Shareholders without such approval; provided, for the avoidance of doubt, that nothing in this Section 5.2 shall affect the provisions of Section 5.1.
