Director Deferred Compensation Program
Pursuant to the Company’s Director Deferred Compensation Program, eachnon-employee director may elect to defer receipt of all equity-based compensation that was payable to the director for service as anon-employee member of the Board of Directors. At a director’s election, the shares of fully vested Common Stock otherwise payable on a current basis to the director, together with any dividends thereon, were credited in the form of DSUs to a hypothetical bookkeeping account in the director’s name and paid to the director in shares of Common Stock and cash, respectively, in a single lump sum at the time specified in the election or, if earlier, upon the cessation of the director’s service on the Board of Directors or a change in control of the Company. For additional information regardingnon-employee directors’ elections to defer receipt of such equity-based compensation with respect to their respective service as a member of the Board of Directors during fiscal 2025, see“Director Summary Compensation Table”below.
With respect tonon-employee directors on ourpre-Emergence Board of Directors, the Emergence qualified as a “change in control” of the Company. Accordingly, all DSUs that were deferred under the Company’s Director Deferred Compensation Program in respect of thepre-Emergence period were settled immediately following the Emergence.
