SIGNIFICANT CHANGES

Except as disclosed elsewhere in this Annual Report, we have not experienced any significant changes since the date of our audited consolidated financial statements included in this Annual Report. Notable subsequent events in early 2026 include:

Intercompany Management Services Agreement

In January 2026, the Company (as Service Recipient) entered into a Management Services Agreement with its subsidiary, Apollomics (Hong Kong) Limited (as Service Provider). Under this agreement, the Service Provider employs and provides specialized management personnel, including certain senior executive officers (such as the CXO), to support the Group’s biotechnology research and development, clinical operations, and corporate strategy.

Filing of Registration Statements

In early 2026, the Company filed a Registration Statement on Form S-8 to register additional shares under the 2023 Incentive Award Plan, and a Registration Statement on Form F-3 to register the resale of a portion of the Class A Ordinary Shares issued in connection with the September 2025 PIPE financing. The Registration Statement on Form S-8 became effective upon filing; the Registration Statement on Form F-3 has not yet been declared effective.

Equity Awards

In February 2026, pursuant to the 2023 Incentive Award Plan previously approved by the Board, the Company formally executed Restricted Share Unit (RSU) award agreements granting an aggregate of 20,000 RSUs to each of our Chief Executive Officer and Chief Operating Officer, 40,000 RSUs to our Chief Financial Officer, and an aggregate of 10,000 RSUs to the independent directors (2,000 RSUs each).

Convertible Promissory Note with Chairman and Chief Executive Officer

On March 30, 2026, the Company entered into a Convertible Promissory Note with Mr. Hung-Wen (Howard) Chen, our Chairman and Chief Executive Officer. Pursuant to the note, Mr. Chen provided an unsecured bridge loan to the Company in the principal amount of $2.0 million to support our working capital and ongoing clinical operations. The note bears no interest (0% per annum) and will automatically convert into equity securities of the Company upon the closing of our next equity financing that raises aggregate gross proceeds of not less than $10.0 million. Upon such conversion, the conversion price will be equal to 80% of the lowest per-share purchase price paid by investors in that financing. The transaction was reviewed and recommended by the Audit Committee and subsequently approved by the Board of Directors, with Mr. Chen abstaining from the vote.
