The Genius Board has adopted a Code of Conduct, a copy of which is available on Genius’ EDGAR profile atwww.sec.gov, and is available on our website athttps://investors.geniussports.com/governance/governance-documents/. The Code of Conduct applies to all of our directors, officers, employees, consultants and other staff, and is intended to meet the definition of “Code of Ethics” under Item 16B of Form 20-F. The reference to Genius’ website is an inactive textual reference only, and information contained therein or connected thereto is not incorporated into this Report.

Our Code of Conduct, which cross-references the Company’s formal Conflicts of Interest Policy, includes provisions stating that individuals should avoid situations that may result in a conflict of interest. The Genius Board reviews conflicts which involve directors of the Company. During the 2025 year, the Conflicts of Interest Policy was followed.
