Background
On August 28, 2024, the Board unanimously approved the Articles Amendment, which is an amendment to increase the number of shares of Common Stock authorized for issuance from 300,000,000 shares to 600,000,000 shares, subject to approval by our stockholders, and directed that the proposal to approve the Articles Amendment be submitted to our stockholders for their approval at the Special Meeting.
