Elevra has adopted a Corporate Code of Conduct that applies to all of Elevra’s directors, managers and employees as well as contractors, agents or any other third parties who interact with external parties on Elevra’s behalf. The Corporate Code of Conduct addresses, among other things, conflicts of interest, communications and disclosures, fair dealing and compliance with applicable laws, confidential information and the process for reporting violations of the Corporate Code of Conduct. The Corporate Code of Conduct is intended to meet the definition of “code of ethics” under Item 16B of Form 20-F. Elevra will disclose on its website any amendment to, or waiver from, a provision of the Corporate Code of Conduct that applies to its directors or executive officers to the extent required under the rules of the SEC or the Nasdaq.
