Neither this Agreement nor any of the rights or obligations under this Agreement are assignable or transferable by any Party without the prior written consent of the other Party, except that the Purchaser may assign all or any portion of its rights to, and its obligations under this Agreement may be assumed by, any of its affiliates, provided that the Purchaser shall continue to be liable jointly and severally with such affiliate for all of its obligations hereunder.
