Background

In accordance with the Fund's Articles of Amendment and Restatement, the Board is divided into three classes: Class I, Class II and Class III. Board members are divided among the Classes in as equal a number as possible, with each Class having a term of three years and one class being elected each year. If elected, each Director is entitled to hold office until the Annual Meeting of Stockholders held in the year in which his or her term expires, as noted below, or until his or her successor is elected and qualified.

At the Meeting, stockholders will be asked to elect two Class II Directors to hold office until the 2029 Annual Meeting of Stockholders or thereafter until their respective successors are elected and qualified. Ms. Nisha Kumar and Mr. Luis Rubio are the nominees for election as Class II Directors as their terms expire at this Meeting. The qualifications of Ms. Kumar and Mr. Rubio are described in more detail below. Despite the term of Ms. Kumar and Mr. Rubio each as a Class II Director, pursuant to the Fund's Corporate Governance Policies described below, Ms. Kumar and Mr. Rubio will be put forth for consideration by stockholders annually, hereafter, if elected at this Meeting.

The Board, including the Independent Directors, unanimously recommends that stockholders vote "FOR" each nominee as a Director.
