The Code of Business Conduct and Ethics (the “Code”) may be viewed at the Company’s website at www.kinross.com under “About – Corporate Governance” and is available in print to any shareholder upon written request to the Company’s Corporate Secretary. Any amendments to the Code of Business Conduct and Ethics, including a description of such amendment, will be posted to the Company’s website within five business days following the date of the amendment.

In February 2025, the Company amended the Code to, among other things, make changes to clarify the Company’s policies with respect to the following: the Kinross leaders whom a Kinross representative may contact to provide notices or seek approvals; the options Chilean employees have for reporting workplace harassment, sexual harassment, and workplace violence in accordance with a new Chilean law; what counts as a gift or benefit from a customer or supplier and the process to be followed if a gift is offered during the course of a procurement event; who the Kinross representative should receive written approval from prior to accepting the gift or attending an event where there is doubt of its acceptability under the Code; the definition of “payment” with respect to its meaning under anti-corruption laws; rules around the reimbursement of reasonable expenses incurred in good faith by or on behalf of a government official; what business related electronic data and communications count as “business records” under the Code; the expectations on Kinross representatives to protect Kinross computer systems and software from threats; and who qualifies as a “Supplier” under the Code. The amended Code is included as exhibit 99.11 to this annual report on Form 40-F and incorporated herein by reference.

The Company did not grant any waivers under its Code of Business Conduct and Ethics during 2024.
