Effectiveness of Share Increase Amendment
If Proposal No. 1 is approved by the stockholders at the Special Meeting, the Share Increase Amendment will become effective upon the filing of a certificate of amendment to our Certificate of Incorporation with the Secretary of State of the State of Delaware. The Board will have sole and absolute discretion to determine the time and date, if at all, of the filing of the Share Increase Amendment, which may or may not be concurrent with the filing of the proposed amendment to the Certificate of Incorporation to give effect to the Reverse Stock Split, if Proposal No. 2 is approved by the stockholders at the Special Meeting.
