Position Description

The Board has not adopted formal written position descriptions for the Chair of the Board, the Lead Independent Director, the Chair of the Audit Committee or the Chief Executive Officer.

The Board delineates the roles and responsibilities of these positions through the Company's governance practices, the Audit Committee Charter, applicable employment arrangements and through regular review and direction by the Board.

The Chair of the Board is responsible for providing leadership to the Board, presiding over meetings of the Board, facilitating the effective functioning of the Board and assisting the Board in discharging its oversight responsibilities.

The Board has appointed Peter Kampian as Lead Independent Director. The Lead Independent Director is responsible for providing leadership to the independent directors, acting as a liaison between management and the independent directors, chairing meetings of the independent directors when held and assisting in ensuring that the Board functions independently of management where appropriate.

The Chair of the Audit Committee is responsible for coordinating the activities of the Audit Committee, presiding over committee meetings and reporting to the Board on matters considered by the Audit Committee.

The Chief Executive Officer is responsible for the day-to-day management of the Company's business and affairs, implementing the strategic direction approved by the Board and reporting regularly to the Board regarding the Company's operations, financial performance and strategic initiatives.
