Each member of the Audit Committee meets the independence and financial experience requirements of the Nasdaq and the SEC currently in effect. In addition, the Board of Directors has determined that each of Mr. Edwards, Mr. Diradoorian, Ms. Houde and Matthew Korenberg is an audit committee financial expert, as defined by the rules and regulations of the SEC.
