Overview

Our Board consists of eight directors and is divided into three classes with staggered three-year terms:

Class I – Term expiring at the 2026 Annual Meeting of Stockholders

Michael Tomsicek, M.B.A.

Charles Baum, M.D., Ph.D.

Class II – Term expiring at the 2027 Annual Meeting of Stockholders

Sharon Shacham, Ph.D., M.B.A.

Class III – Term expiring at the 2025 Annual Meeting of Stockholders

Santhosh Palani, Ph.D., C.F.A.

At the Annual Meeting, each of Peter Blume-Jensen, M.D., Ph.D.; Derek DiRocco, Ph.D.; and Santhosh Palani, Ph.D., C.F.A. will be standing for election as a Class III director, to hold a three-year term expiring at our 2028 Annual Meeting. Each of the directors will hold office until his successor has been elected and qualified or until a director’s earlier resignation or removal.

The nominating and corporate governance committee has recommended, and the Board has approved, the nomination of Drs. Blume-Jensen, DiRocco and Palani to stand for election at the 2025 Annual Meeting. Dr. Palani is standing for election by our stockholders for the first time and was identified as a candidate to join the Board by our directors through his prior experience as a consultant to the Company (which ended in 2021). Dr. Palani was engaged again to consult for the Company in June 2024. For more information regarding the advisory agreement with Dr. Palani, see the discussion under the heading “2024 Director Compensation”. Dr. Palani has extensive experience and expertise as an analyst and a private and public company investor. The nominees have consented to serve if elected. However, if a nominee fails to stand for election, declines to accept election, or is otherwise unavailable for election prior to our 2025 Annual Meeting, proxies solicited by our Board will be voted by the proxy holders for the election of any other person or persons as the Board may recommend, or our Board, at its option, may reduce the number of directors that constitute the entire Board.
