Our Board of Directors has unanimously adopted, and recommends that stockholders approve, an amendment and restatement to the Certificate of Incorporation, in the form attached to this proxy statement as Appendix A, to limit the personal liability of certain officers of Ooma as permitted by recent amendments to the Delaware General Corporation Law (the “DGCL”), as discussed further below.
