Director Commit ments
Our Board believes that all members of the Board should have sufficient time and attention to devote to board duties and to otherwise fulfill the responsibilities required of directors. The Board and Governance and Sustainability Committee recognize that external commitments may impact a director’s ability to discharge their responsibilities to effectively serve on the Board. The Board and Governance and Sustainability Committee believe that each person nominated for election at the 2026 Annual Meeting has the ability to effectively serve on the Board and to dedicate sufficient time and attention to his or her responsibilities as a member of the Board, taking into consideration, among other things, each nominee’s attendance at meetings of the Board and any committees on which such nominee serves; the number of additional public company boards on which a nominee serves; and the nominee’s level of contribution and participation in meetings of the Board and any of its committees.
Upon reviewing the commitments of our directors nominees, the Governance and Sustainability Committee carefully considered Mr. Rosensweig’s service. The Governance and Sustainability Committee noted (1) Mr. Rosensweig’s background, qualifications and years of service to the Company offer unique qualifications, institutional history and perspectives; (2) his near-perfect attendance (he was absent from one committee meeting in fiscal year 2025); (3) he attends meetings well-prepared and well-informed, actively participating in all discussions; (4) he is available to confer on matters with short notice; (5) his service on other boards has not interfered and is not expected to interfere with the time and attention required to serve on our Board; and (6) Mr. Rosensweig has represented to our Board that he is fully committed to the Board and will dedicate the appropriate amount of time to fulfill his duties as a member of our Board. However, we recognize that certain stockholders may consider Mr. Rosensweig to be “overboarded” due to his service on two other public company boards while serving as a public company CEO. In particular, Mr. Rosensweig serves as Chief Executive Officer and the Co-Chair of the board of directors of Chegg, Inc. and also serves on the board of directors of Rent the Runway Inc. Upon robust review of Mr. Rosensweig’s qualifications and commitment to the Board, the Governance and Sustainability Committee and the Board believe Mr. Rosensweig’s membership on the Board is highly valuable and concluded that his service on other boards does not impair his service to the Company.
