The percentage of total performance-based compensation for our NEOs other than our CEO is lower than the percentage for the CEO, primarily due to the structure of Mr. Waycaster’s 2025 compensation. Mr. Waycaster did not receive a performance-based equity award in 2025, and his annual cash incentive for 2025 was adjusted to reflect that he would not be our chief executive officer after April 30, 2025 (his base salary and time-based restricted stock awards were similarly adjusted). Excluding Mr. Waycaster’s compensation, performance-based compensation for our NEOs other than our CEO was 44.0% of their total compensation for 2025 (excluding Mr. Cole). More detailed information about the nature and amount of compensation we paid to our NEOs and payouts for performance-based compensation is provided below under the heading “2025 Compensation Decisions.”
