292,523 Shares of Common Stock

This prospectus relates to the offer and resale by Mast Hill Fund, L.P. (“Mast Hill” or the “Selling Stockholder”) of up to an aggregate of 292,523 shares (the “Shares”) of common stock, par value $0.0001 per share, of Tivic Health Systems, Inc. (the “Company”), consisting of (i) 262,723 shares of our common stock which we may sell and issue to Mast Hill from time to time pursuant to the Equity Purchase Agreement we entered into with Mast Hill on March 18, 2025 (the “Purchase Agreement”), and (ii) 29,800 shares of common stock we issued to Mast Hill on March 18, 2025 as commitment shares in connection with execution of the Purchase Agreement. See the sections of this prospectus entitled “The Mast Hill Transaction” for more information regarding the Purchase Agreement and the transactions contemplated thereby and “Selling Stockholder” for additional information regarding Mast Hill.

We are registering the offer and sale of these securities to satisfy certain registration rights we have granted to Mast Hill. We are not selling any securities under this prospectus and will not receive any of the proceeds from the sale of shares of common stock by the Selling Stockholder. However, we may receive proceeds of up to $25 million from the sales, if any, of shares of our common stock to the Selling Stockholder pursuant to the Purchase Agreement, once the registration statement that includes this prospectus is declared effective.

The Selling Stockholder may sell or otherwise dispose of the shares of common stock described in this prospectus in a number of different ways and at varying prices. The Selling Stockholder is an “underwriter” within the meaning of Section 2(a)(11) of the Securities Act of 1933, as amended (the “Securities Act”), in connection with the resale shares of our common stock under this prospectus and any broker-dealers or agents that are involved in such resales may be deemed to be “underwriters” within the meaning of the Securities Act in connection therewith. In such event, any commissions received by such broker-dealers or agents and any profit on the resale of the shares purchased by them may be deemed to be underwriting commissions or discounts under the Securities Act. We provide more information about how the Selling Stockholder may sell its shares of common stock in the section titled “Plan of Distribution” beginning on page 16 of this prospectus.

Our common stock is traded on The Nasdaq Capital Market tier of The Nasdaq Stock Market, LLC under the symbol “TIVC.” The last reported sale price of our common stock on the Nasdaq Capital Market on May 7, 2025 was $4.30 per share.
