ACLARION, INC.
Up to 2,500,000 Shares of Common Stock
This prospectus relates to the offering and resale by White Lion Capital LLC (“White Lion” or the “Selling Securityholder”) of up to 2,500,000 shares of our common stock, par value $0.00001 per share.
The shares of common stock being offered by the Selling Securityholder have been or may be issued and sold to the Selling Securityholder pursuant to the purchase agreement (the “Purchase Agreement”) effective as of October 9, 2023, that we entered into with White Lion. See “The White Lion Transaction” for a description of the Purchase Agreement and “Selling Securityholder” for additional information regarding White Lion. The prices at which White Lion may resell the shares offered hereby will be determined by the prevailing market price for the shares or in negotiated transactions. We are not selling any securities under this prospectus and will not receive any of the proceeds from the sale of shares of common stock by the Selling Securityholder. However, we may receive proceeds of up to $7.1 million from the sale of our common stock to the Selling Securityholder pursuant to the Purchase Agreement, once the registration statement that includes this prospectus is declared effective.
The Selling Securityholder may sell or otherwise dispose of the shares of common stock described in this prospectus in a number of different ways and at varying prices. See “Plan of Distribution” for more information about how the Selling Securityholder may sell or otherwise dispose of the shares of common stock being registered pursuant to this prospectus. The Selling Securityholder is an “underwriter” within the meaning of Section 2(a)(11) of the Securities Act of 1933, as amended.
The Selling Securityholder will pay all brokerage fees and commissions and similar expenses. We will pay the expenses (except brokerage fees and commissions and similar expenses) incurred in registering the shares of common stock offered hereby, including legal and accounting fees. See “Plan of Distribution.”
Our common stock is listed on the Nasdaq Capital Market under the symbol “ACON.” On January 19, 2024 the closing price for our common stock, as reported on the Nasdaq Capital Market, was $2.81 per share. Our warrants offered in connection with our initial public offering (the “IPO Warrants”) are quoted on the Nasdaq Capital Market under the symbol “ACONW.” The last reported sale price of our IPO Warrants on the Nasdaq Capital Market on January 19, 2024 was $0.034 per IPO Warrant.
We have received deficiency letters from The Nasdaq Stock Market LLC (“Nasdaq”) that we are not in compliance with Nasdaq’s (i) minimum bid price requirement of at least $1.00 per share and (ii) the requirement to have at least $2,500,000 in stockholders’ equity (the “Stockholders’ Equity Requirement”). On August 31, 2023, the Nasdaq staff notified us that we had not met the terms required to be granted an additional 180-day period to regain compliance with the Stockholders’ Equity Requirement. Accordingly, the Nasdaq staff had determined to delist our common stock from Nasdaq. We requested a hearing before a hearings panel (the “Panel”) to appeal the delisting notice from the staff. Our hearing with the Panel occurred on October 19, 2023. On November 7, 2023, we were notified by the Panel that our request for continued listing on Nasdaq was granted, subject to us demonstrating compliance with the stockholders equity requirement and bid price requirement on or before January 31, 2024. The Panel has the right to reconsider the terms of this exception based on any event, condition or circumstance that exists or develops that would, in the opinion of the Panel, make continued listing of our securities on Nasdaq inadvisable or unwarranted. There can be no assurances that we will regain compliance with the Stockholders' Equity Requirement, or that we will maintain our listing on the Nasdaq Capital Market. We believe that our recently implemented reverse stock split of our outstanding common stock, which was effective at a ratio of 1-for-16 shares, is likely to result in compliance with the Nasdaq Bid Price Requirement in the near future, although there can be no assurance that this will result in compliance.
You should read this prospectus, together with additional information described under the headings “Where You Can Find More Information” carefully before you invest in any of our securities.
