PRELIMINARY PROSPECTUS

Up to 17,587,055 Units, with each Unit consisting of One Common Share and One Warrant to Purchase One Common Share

Up to 17,587,055 Pre-Funded Units, with each Pre-Funded Unit consisting of One Pre-Funded Warrant to Purchase One Common Share and One Warrant to Purchase One Common Share

Up to 17,587,055 Common Shares Underlying the Warrants

Up to 17,587,055 Common Shares Underlying the Pre-Funded Warrants

Pineapple Financial Inc. is offering on a best efforts basis, up to 17,587,055 units (the “Units”), each Unit consisting of: (i) 17,587,055 common shares, no par value per share (“Common Share”); and (ii) one Series A Warrant to purchase one Common Share (“Warrant”). Each Warrant is exercisable at an exercise price of $0.2843 per share (100% of the assumed offering price per Unit). The Warrants will be immediately exercisable from the date of issuance and will expire 5 years after the date of issuance. We are offering each Unit at an assumed offering price of $0.2843 per Unit, based upon the last reported sale price of our Common Shares on The NYSE American on April 22, 2025.

We are also offering pre-funded units (“Pre-Funded Units”) to those purchasers, if any, whose purchase of Units in this offering would otherwise result in the purchaser, together with its affiliates and certain related parties, beneficially owning more than 4.99% (or, at the election of the purchaser, 9.99%) of our outstanding Common Shares immediately following the consummation of this offering. Each Pre-Funded Unit consists of: (i) one pre-funded warrant exercisable for one Common Share (“Pre-Funded Warrant”); and (ii) one Warrant. The purchase price of each Pre-Funded Unit is equal to the price per Unit being sold to the public in this offering, minus $0.0001 per share, and the exercise price of each Pre-Funded Warrant included in the Pre-Funded Unit is $0.0001 per share. The Pre-Funded Warrants will be immediately exercisable and may be exercised at any time until all of the Pre-Funded Warrants are exercised in full.

For each Pre-Funded Unit we sell, the number of Units we are offering will be decreased on a one-for-one basis. Because we will issue one Warrant as part of each Unit or Pre-Funded Unit, the number of Warrants sold in this offering will not change as a result of a change in the mix of the Units and Pre-Funded Units sold.

The Common Shares and Pre-Funded Warrants, and the accompanying Warrants, as the case may be, can only be purchased together in this offering but will be issued separately and will be immediately separable upon issuance. Pursuant to the registration statement related to this prospectus, we are also registering the Common Shares issuable upon exercise of the Warrants included in the Units and Pre-Funded Units and the Pre-Funded Warrants included in the Pre-Funded Units offered hereby.

Our Common Shares are listed on NYSE American under the symbol “PAPL.” The closing price of our Common Shares on April 22, 2025, as reported by The NYSE American, was $0.2843 per share. There is no established trading market for the Units, Pre-Funded Units, Warrants or Pre-Funded Warrants and we do not intend to list the Units, Pre-Funded Units, Warrants or Pre-Funded Warrants on any securities exchange or nationally recognized trading system.

The public offering price for the securities in this offering will be determined at the time of pricing, and may be at a discount to the current market price at the time. Therefore, the assumed public offering price used throughout this prospectus may not be indicative of the final offering price. The final public offering price will be determined through negotiation between us and the investors based upon a number of factors, including our history and our prospects, the industry in which we operate, our past and present operating results, the previous experience of our executive officers and the general condition of the securities markets at the time of this offering.

We have engaged D. Boral Capital LLC to act as our exclusive placement agent (the “Placement Agent”) in connection with this offering. The Placement Agent has agreed to use its reasonable best efforts to arrange for the sale of the securities offered by this prospectus. The Placement Agent is not purchasing or selling any of the securities we are offering, and the Placement Agent is not required to arrange the purchase or sale of any specific number of securities or dollar amount. We have agreed to pay to the Placement Agent the fees set forth in the table below, which assumes that we sell all of the Securities offered by this prospectus. See “Plan of Distribution”.

The securities are expected to be issued in a single closing and the public offering price per Common Share and Pre-Funded Warrant will be fixed for the duration of this offering. There is no minimum offering requirement as a condition of closing of this offering. Because there is no minimum offering amount required as a condition to closing this offering, we may sell fewer than all of the Securities offered hereby, which may significantly reduce the amount of proceeds received by us, and investors in this offering will not receive a refund in the event that we do not sell an amount of Securities sufficient to pursue our business goals described in this prospectus. Further, any proceeds from the sale of Securities offered by us will be available for our immediate use, despite uncertainty about whether we would be able to use such funds to effectively implement our business plan. See “Risk Factors” on page 19 of this prospectus for more information.

We intend to use the proceeds from this offering for general corporate purposes, including working capital and investments. See “Use of Proceeds.”

Investing in our securities involves a high degree of risk. See “Risk Factors” beginning on page 19 of this prospectus for a discussion of information that should be considered in connection with an investment in our securities.

Neither the Securities and Exchange Commission (“SEC”) nor any state securities commission has approved or disapproved of these securities or determined if this prospectus is truthful or complete. Any representation to the contrary is a criminal offense.

We are an “emerging growth company” as that term is used in the Jumpstart Our Business Start-ups Act of 2012 (the “Jobs Act”), and we have elected to comply with certain reduced public company reporting requirements.
