Message from our CEODear Stockholders of Magnolia Oil & Gas Corporation,On behalf of the Board of Directors and employees of Magnolia Oil & Gas Corporation (“Magnolia,” the “Company,” “we,” “our” and “us”), we cordially invite you to participate in our 2024 Annual Meeting of Stockholders (the “Annual Meeting”) to be held on Tuesday, May 7, 2024, at 8:00 a.m. Central Time, via live webcast at www.virtualshareholdermeeting.com/MGY2024. The attached Notice of 2024 Annual Meeting of Stockholders and this proxy statement will serve as your guide to the business to be conducted during the Annual Meeting. In terms of Magnolia’s performance in 2023, we entered the year faced with an industry environment in which costs for oilfield services and materials reflected the previous year’s higher commodity prices, not current prices. Our team took proactive measures to address this challenge with our supply chain and operations staff partnering with service providers and material vendors to better align costs within 2023’s lower commodity price environment. As a result, our total capital spending was 17 percent lower than our initial 2023 budget, and we generated additional free cash flow while achieving production growth of 9 percent. Moreover, production at our Giddings asset increased by 46 percent in 2023, while well costs at that asset declined by more than 20 percent from year-ago levels thanks to operating efficiencies and strong well performance.Consistent with our commitment to enhance per share value over the long term, we returned 74 percent of the $413 million in free cash flow(1) we generated in 2023 to our stockholders in the form of share repurchases and dividends. We repurchased 9.6 million shares of Magnolia stock in 2023, reducing our diluted weighted average share count outstanding by 5 percent and increased our annual cash dividend by 15 percent. In addition, we completed a record $355 million of bolt-on oil and gas property acquisitions, enhancing our opportunity set and improving the overall value of the business. After all our activities, including capital expenditures, acquisitions, and the significant return of cash to stockholders, we ended the year with a substantial cash balance of $401 million and just $400 million of long term debt.We remain focused on our priorities in the areas of safety, environmental stewardship, workforce diversity, stakeholder and community outreach, and corporate governance. In line with those priorities, we enhanced the disclosures in our 2023 Sustainability Report, providing statistics on our Scope 2 greenhouse gas emissions in 2022, new discussions and metrics related to reductions in diesel fuel consumption and associated emissions, our efforts to partner with vendors across our supply chain, and our commitment to respecting human rights. We also expanded reporting on our quantitative metrics to cover four full years of Magnolia’s performance on these measures, when available. These updates and enhancements further our commitment to keeping stakeholders informed about our efforts to develop oil and natural gas resources safely and responsibly.I commend our team for their focus and performance in 2023. Their efforts helped us deliver another solid year of execution on Magnolia’s overall strategy and core principles, including disciplined capital spending, high operating margins, consistent free cash flow, and moderate production growth. As we approach this year’s Annual Meeting, I want to remind you that your vote is important to Magnolia. We encourage you to sign and return your proxy card or vote by telephone or electronically over the Internet following the instructions on the Notice as soon as possible, so that your shares will be represented and voted at the Annual Meeting.Thank you for being a stockholder and for the trust you have in Magnolia.Sincerely,Christopher G. Stavros President and Chief Executive Officer______________
