Recent Events
On April 14, 2025, we received a letter from the Listing Qualifications staff of The Nasdaq Stock Market (“Nasdaq”) notifying us that based on the closing bid price of the Company for the period from February 28, 2025 to April 11, 2025, we no longer meet the continued listing requirement of Nasdaq under Nasdaq Listing Rules 5550(a)(2), to maintain a minimum bid price of $1 per share. We had a 180-calendar day compliance period, or until October 13, 2025, in which to regain compliance with Nasdaq’s continued listing requirement. We did not regain compliance in the compliance period and requested an additional 180 calendar days to regain compliance. On October 17, 2025, we received a letter from Nasdaq, notifying the Company that it is eligible for an additional 180-day extension, or until April 13, 2026, to regain compliance. The shares will continue to trade uninterrupted under the symbol “SKK” through the 180-day extension. On April 6, 2026, we effected a share consolidation on a 10 for 1 ratio. The objective of the share consolidation is to enable us to regain compliance with Nasdaq Marketplace Rule 5550(a)(2) and maintain its listing on Nasdaq. As a result of the share consolidation, the number of issued and outstanding ordinary shares of the Company was reduced from 24,375,000 to 2,437,503. The disclosure throughout this report does not reflect the share consolidation, unless otherwise noted.
