NOTICE OF ANNUAL MEETING OF SHAREHOLDERS
TO BE HELD ON AUGUST 6, 2026
To the Shareholders of Seneca Foods Corporation:
You are hereby notified that the 2026 Annual Meeting of Shareholders (the “Annual Meeting”) of Seneca Foods Corporation (the “Company”) will be held at the Company’s Offices, 418 East Conde Street, Janesville, WI 53546, on Thursday, August 6, 2026 at 1:00 PM, Central Daylight Time, for the following purposes (which are more fully described in the accompanying proxy statement):
| 1. | To elect three directors to serve until the Annual Meeting of Shareholders in 2029 and until each of their successors is duly elected and shall qualify; |
| 2. | To provide advisory approval of the compensation of the Company’s Named Executive Officers for 2026; |
| 3. | To provide approval of the Seneca Foods Corporation 2026 Equity Incentive Plan; |
| 4. | To cast a non-binding advisory vote to ratify the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending March 31, 2027; |
| 5. | To transact such other business as may properly come before the Annual Meeting or any adjournment thereof. |
Only shareholders of record at the close of business on June 12, 2026 are entitled to notice and to vote at the Annual Meeting and any adjournment thereof.
