As of February 27, 2026, the record date, there were 19,075,028 issued and outstanding shares of Common Stock. A total of 12,220,051 shares of common stock were voted by proxy, and 157,996 shares of common stock were voted in person, representing 64.89% of the shares entitled to be voted.
