NOTICE OF ANNUAL MEETING OF SHAREHOLDERS
TO BE HELD ON AUGUST 8, 2024
To the Shareholders of Seneca Foods Corporation:
You are hereby notified that the 2024 Annual Meeting of Shareholders (the “Annual Meeting”) of Seneca Foods Corporation (the “Company”) will be held at the Company’s Offices, 418 East Conde Street, Janesville, WI 53546, on Thursday, August 8, 2024 at 1:00 PM, Central Daylight Time, for the following purposes (which are more fully described in the accompanying proxy statement):
| 1. | To elect three directors to serve until the Annual Meeting of Shareholders in 2027 and until each of their successors is duly elected and shall qualify; |
| 2. | To cast a non-binding advisory vote to ratify the appointment of Deloitte & Touche LLP as the Company’s independent registered public accounting firm for the fiscal year ending March 31, 2025. |
| 3. | To transact such other business as may properly come before the Annual Meeting or any adjournment thereof. |
Only shareholders of record at the close of business on June 14, 2024 are entitled to notice of and to vote at the Annual Meeting and any adjournment thereof.
