**Letter from Our Chair and
Lead Independent Director
Dear Fellow Stockholders:
| On behalf of the entire Board, thank you for your continued support and investment in Western Digital. Following our October 2023 announcement of plans to separate our HDD and flash businesses, we are pleased with the progress being made to prepare for the separation as well as our management team’s continued focus on innovation and operational efficiency. We are proud to provide you with updates on our performance and key focus areas for the Board and our stockholders as we approach our 2024 Annual Meeting. Strong Execution as We Progress Towards HDD and Flash Separation In October 2023, our Board announced the outcome of its comprehensive strategic review of the business and intention to separate our existing HDD and flash businesses into two separate, publicly listed companies to unlock long-term value for our stockholders. Since then, we have made significant progress – including naming executives to key leadership positions – and we are taking actions that we believe position both companies to have a strong product portfolio and operational and financial leadership post–separation. While progressing on the separation, our Board and management team have remained focused on achieving operational efficiency and enhancing our business agility to drive innovation and execute on opportunities as the technology landscape and our businesses evolve. This focus has yielded excellent results and performance, which we believe can enable us to generate higher earnings and improve profitability while positioning our HDD and flash businesses for success. | Sound Governance, Board Oversight and Stockholder Engagement We continue to prioritize sound corporate governance practices that facilitate strong Board oversight and align with feedback shared by stockholders through our regular outreach program. We have worked to further enhance our governance practices over the past several years to promote independent Board leadership, a robust Board evaluation process and smooth and effective director and management succession. Our Board is composed of individuals who bring extensive experience and diverse perspectives and skills that have been essential to the oversight of our evolving business. Over the past year, we worked to evaluate and align the skills and expertise of our directors with the needs of both standalone companies upon the completion of the separation while continuing to foster diversity, as demonstrated by our commitment to include diverse candidates in our Board search processes. Stockholder engagement remains a key consideration into the Board’s decision-making process. Through our ongoing discussions with stockholders throughout the year, we have discussed business and strategy, board composition and diversity, executive compensation and corporate responsibility and sustainability matters. The views and perspectives shared by our stockholders continue to inform our executive compensation program, as summarized in this year’s proxy statement. | Pursuit of Sustainable Excellence At Western Digital, our environmental, social and responsible business efforts are an integral part of our operations. In fiscal 2024, we continued our journey to sustainable excellence and are proud of how we have distinguished ourselves through our dedication to transparency and substantive progress. After setting four new, ambitious sustainability targets in fiscal 2023, we have intensified our focus on initiatives to mitigate the impacts of climate change and are ahead of our combined Scope 1 and 2 emission goals with regards to our Science-Based Targets trajectory. We also continue to put our people at the heart of everything we do and work to support safe and fair working conditions for all employees. We Ask for Your Support We are grateful for the opportunity to represent our stockholders and serve the company as we continue driving towards our planned separation with a focus on sustainable and long-term growth, unlocking value for our stockholders. We welcome and appreciate your input and support for our voting recommendations at our upcoming Annual Meeting. Sincerely, |
