BUUU is a holding company that does not have any material operations of its own, with its operations conducted in Hong Kong through its Operating Subsidiaries BU Creation and BU Workshop, using Hong Kong dollars. Since September 15, 2026, we also hold a 60% interest in Brightray, which through its subsidiaries provides prefabricated modular data center solutions. The reporting currency of BUUU is the U.S. dollar and the functional currency of our Operating Subsidiaries in Hong Kong is the Hong Kong dollar. This annual report contains translations of certain foreign currency amounts into U.S. dollars for the convenience of the reader. The assets and liabilities are translated into U.S. dollars from Hong Kong dollars at the year-end exchange rate. Its revenues and expenses are translated at the average exchange rate during the year. Capital accounts are translated at their historical exchange rates when the capital transactions occurred. The year-end and year-average exchange rates are as follows:
| June 30, | ||||||
|---|---|---|---|---|---|---|
| 2026 | 2025 | 2024 | ||||

We make no representation that the Hong Kong or U.S. dollar amounts referred to in this annual report could have been or could be converted into U.S. dollars or Hong Kong dollars, as the case may be, at any particular rate or at all.
On September 28, 2026, our board of directors approved a 10-for-1 forward subdivision of our shares, under which each issued Class A Ordinary Share and Class B Ordinary Share was subdivided into ten shares of the same class and our authorised share capital was increased from 500,000,000 to 5,000,000,000 no par value shares, effective on October 26, 2026, with our Class A Ordinary Shares trading on a split-adjusted basis from market open on that date (the “Share Subdivision”). Unless otherwise indicated, the numbers of shares outstanding as of the date of this annual report and as stated on the cover page of this annual report give effect to the Share Subdivision. Share and per share information in our consolidated financial statements included in this annual report has been retroactively adjusted to give effect to the Share Subdivision. Numbers of shares and prices relating to issuances, grants and agreements made before the Share Subdivision are stated as at the time, followed in parentheses by the number or price after giving effect to the Share Subdivision, except for our initial public offering and our reorganization before it, which are stated as at the time only.
We obtained the industry and market data used in this annual report or any document incorporated by reference from industry publications, research, surveys and studies conducted by third parties and our own internal estimates based on our management’s knowledge and experience in the markets in which we operate. We did not, directly or indirectly, sponsor or participate in the publication of such materials, and these materials are not incorporated in this annual report other than to the extent specifically cited in this annual report. We have sought to provide current information in this annual report and believe that the statistics provided in this annual report remain up-to-date and reliable, and these materials are not incorporated in this annual report other than to the extent specifically cited in this annual report.
